The HOA Bylaws describe the operational procedures of the association. The bylaws have been summarized below for your convenience. All bylaws are uploaded in full on the Governing Documents page.
Meeting of Members
Meeting Location: All meetings shall be held in Osceola County (or another location permitted by law)
Annual Meeting Time: Annual Meetings of the members shall be held in the 3rd or 4th quarter of each fiscal year.
Notice of Annual Meetings: Notice of the meeting (including an agenda) shall be mailed, delivered, or electronically transmitted at least 14 days prior to the meeting.
Special Meetings: The HOA may call special meetings of the members.
Business at Special Meetings: Only business stated within notice of the special meeting may be conducted.
Notice of Special Meetings: Notice shall be provided to members no less than 14 days & nor more than 60 days prior to the meeting.
Quorum: Presence in person or by proxy representing 10% of total number of votes.
Action Taken at Meeting: Majority of votes when a quorum is present shall decide any question brought before membership.
Action Without Meeting: Action may be taken without a meeting provided a proposal is mailed to every member with a request for approval/disapproval and responses are received from 1/3 of membership. Majority of vote determines proposal.
Right to Speak: Members have the right to attend all membership/board meetings and speak with reference to all items open for discussion. The member shall have 3 minutes to speak on each item, provided a request to speak is submitted in writing before the meeting. The HOA may establish rules to govern owner statements.
Directors
Election of Directors: The Board election shall be held at the annual Members' meeting and conducted by ballot (unless dispensed by unanimous consent). For additional info, see: Board of Directors.
Notice of Board Meetings: Notice of all Board Meetings must be posted in a conspicuous place at least 48 hours in advance (except in an emergency). For Hanover, we post at the mailboxes.
Meeting to Determine Assessments: An assessment may not be levied at a board meeting unless written notice is provided to all members 14 days prior.
Meeting to Determine Rules & Regulations: A meeting to adopt, amend, or revoke rules must be provided in writing 14 days prior.
Membership Petition: If 10% of owners petition for the Board to address an item of business, the Board must address it within 60 days of receiving petition. Notice must be provided to members 14 days before meeting.
Waiver of Notice: Any director may waive notice of a meeting before or after the meeting and waiver shall be deemed equivalent to giving notice.
Quorum: A majority of all directors shall constitute a quorum.
Joinder in Meeting: A director may concur & sign in the meeting minutes to constitute a quorum.
Officers
The Board may appoint Executive Officers (President, Vice-President, Secretary, or Treasurer).
At this time, these positions are filled by the Board of Directors.
Fiscal Management
Assessments & Budget: See the Declarations.
Financial Report: The treasurer shall report the financial status of the HOA within 60 days of fiscal year end.
Fines: The HOA shall levy fines no to exceed the greater of $100 per violation (or maximum allowed under Florida Statute). See Compliance Committee.
Books & Records: The books & records shall be available for inspection within 10 days of request for access.
Fiscal Year: The fiscal year shall be the calendar year.
